Terms & Conditions

Last updated: August 2026

1. Acceptance of Terms

By accessing or using the KYZEN website (kyzencreatives.com) or submitting inquiries through our platform, you agree to comply with and be bound by these Terms of Service.

2. Agency Scope & Service Agreements

KYZEN operates as an intermediary agency and digital production partner. Specific brand sponsorships, talent representation agreements, video production milestones, and software development deliverables are governed by individual signed Statement of Work (SOW) agreements. Services are provided according to the mutually agreed project scope, quotation, invoice, or project agreement.

3. Project Scope & Additional Work

Work outside the agreed project scope may require additional charges. Any expanded requirements, new deliverables, or material changes requested after approval may be quoted separately before work begins.

4. Timelines & Client Responsibilities

Project timelines depend on timely client feedback, approvals, payments, and delivery of required assets or information. Clients are responsible for providing accurate information and necessary materials. Delays caused by missing assets, late feedback, delayed approvals, or other client-side dependencies may affect the delivery timeline.

5. No Guarantee Policy

KYZEN does not guarantee fixed brand deal quantities, arbitrary viewer metrics, viral results, or sales volumes. All influencer marketing activations and digital services are subject to market conditions, creator alignment, audience dynamics, and third-party platform performance.

6. Payment Policy

Invoices and agreed payments must be made by the due date stated in the quotation or invoice. Late payments may delay project delivery or scheduled work. Taxes, if applicable, are payable by the client unless otherwise agreed in writing.

7. Refund Policy

Payments for completed work are non-refundable. Advance payments reserve production time and are generally non-refundable once work has started. Custom creative work, marketing campaigns, and consultation services are not eligible for refunds after delivery. If KYZEN is unable to deliver a project due to its own failure, an appropriate partial or full refund may be considered based on the circumstances and the applicable project agreement.

8. Cancellation Policy

Clients may cancel a project before work begins. If work has already started, charges may apply based on work completed, time reserved, and costs already incurred. KYZEN may cancel or suspend a project if the client violates these terms or engages in illegal, fraudulent, abusive, or unethical activity.

9. Revision Policy

Each project includes the number of revisions defined in the applicable quotation or project agreement. Additional revisions may incur additional charges. Major changes requested after approval, including changes to an already approved direction or deliverable, may be treated as a new request and quoted separately.

10. Intellectual Property

All agency branding, website design, trademarks, and code belong exclusively to KYZEN. Unless otherwise agreed in writing, final client deliverables remain with KYZEN until full payment is received. After final payment, ownership or usage rights transfer as defined in the applicable project agreement. Content created for client campaigns will transfer rights as explicitly defined in individual commercial agreements.

11. Portfolio Rights

KYZEN may display completed public work in its portfolio, website, case studies, or promotional materials unless the client has restricted such use through a written non-disclosure agreement (NDA) or another written agreement.

12. Confidentiality

KYZEN and the client agree to keep confidential business, commercial, technical, and project information private and not disclose it to unauthorized parties, except where disclosure is required by law or otherwise permitted by the applicable agreement.

13. Third-Party Services

Projects may rely on third-party platforms and services, including Meta, Google, Discord, hosting providers, payment providers, software tools, or other external services. Their availability, functionality, policies, and terms may affect project delivery, and their respective policies may also apply.

14. Limitation of Liability

To the extent permitted by applicable law, KYZEN is not responsible for indirect, incidental, special, or consequential losses, lost profits, loss of business, platform outages, or failures caused by third-party services or platforms.

15. Governing Law

These terms are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the jurisdiction of the competent courts of India, subject to any applicable project agreement.

16. Updates to These Terms

KYZEN may update these terms from time to time without prior notice. The latest version published on this website will apply to future use of the website and services, while project-specific agreements may contain additional or different terms.
